Deadline start and exceptions

Under section 41(4) Austrian GmbHG, the action generally has to be filed within one month from dispatch of the resolution copy required by section 40(2) GmbHG. The resolution date is not automatically the start. Dispatch, the copy and the minutes must be secured.

The deadline should not be checked only on the day of filing. The resolution challenge check helps separate dispatch date, notice, voting and any urgent protective need.
