Dispute team for shareholders and managing directors
A shareholder dispute calls for corporate law, litigation strategy and commercial understanding from one team. Mag. Bernhard Brandauer is responsible for the legal advice; depending on the conflict, further specialised lawyers of the firm support safeguards, evidence, negotiations and court enforcement.
Contact the teamThe shareholders approved a dividend, but the managing directors do not pay the fixed amount. The majority points to a later instruction, tight liquidity or an unfinished vote. Enforcement starts with three questions: is there a valid profit allocation resolution, what claim does it create, and does the stated objection actually apply?
This article addresses only payment of an already approved dividend. Preparing the profit allocation, hidden distributions and liquidation proceeds require separate analysis.

Match the resolution, amount, due date and payee. Demand payment by identifying the resolution and review the company’s specific reason for withholding it.
Compare the original profit allocation resolution with every later decision. Review authority, notice, voting, minutes and whether a new valid decision was actually made.
Request the annual accounts, profit allocation, minutes, booking journal and bank records in full. Without this allocation, claim, due date and an alleged reversal remain unclear.
Under section 35 GmbHG, the shareholders resolve on approval of the annual accounts and allocation of the balance-sheet profit. These steps belong together but remain legally distinct. The annual accounts provide the accounting basis. The profit allocation resolution decides whether a profit share is distributed, carried forward or used in another way.
The review therefore brings together the annual accounts, proposed resolution, minutes and copy of the resolution. A profit figure in the accounts alone does not replace a profit allocation resolution. Conversely, a clear distribution resolution cannot be left open solely because the company later points back to the accounts.
The article on reviewing a GmbH profit resolution and payment covers the earlier classification. This article starts after the dividend has been approved.
The content of the resolution makes the payment claim concrete. Record the total distribution, the individual shareholder’s share, any payment date and each express condition. Section 82 GmbHG generally calculates profit shares by reference to paid-in share capital. The articles and a valid resolution may provide a different allocation for the specific distribution.
An unclear phrase should not immediately be treated as either a due claim or a mere intention. Compare the proposal, voting result, minutes and copy sent to the shareholder. If the amount or date differs between documents, interpretation and, where necessary, the validity of the resolution must be addressed first.
A partial payment is reconciled with the outstanding balance. The booking text, bank record and accounting entry show whether the payment was made toward the approved dividend. A different balance on a shareholder current account does not automatically discharge the claim.
When the majority blocks payment through a later instruction, two decisions must be kept apart: the original profit allocation resolution and the later decision on how to handle the approved amount. The later statement is not a substitute for reviewing the first resolution.
Review authority, notice, agenda, required majority, voting exclusions, voting procedure and the exact wording of the resolution. An informal instruction to management is different from a new shareholder decision. Whether a valid change was possible depends on the articles, the first resolution and the actual procedure.
If the voting result is disputed, the article on an incorrectly recorded resolution result helps reconstruct the result actually reached. Here the focus remains payment of an established resolution.
The company may rely on an absent or invalid resolution, an unapproved balance-sheet profit, an unmet condition or a specific counterclaim. Capital maintenance under section 82 GmbHG may also matter. Each objection must be linked to the resolution, amount and payment date.
Tight liquidity alone does not answer whether the individual claim arose or became due. Nor does calling a later payment a dividend prove that the statutory requirements were met. The financial position, accounting basis and resolution must be placed on the same timeline.
A payment without a lawful basis raises a different issue. Section 83 GmbHG concerns repayment to the GmbH. The article on prohibited distributions and repayment addresses that subject separately.
Secure the notice, proposed profit allocation, attendance and voting record, minutes and copy of the resolution in the version received. Add the approved annual accounts and the records showing the balance-sheet profit. UGB accounting rules provide the economic basis, but they do not replace the corporate resolution.
Then trace the payment without gaps: demand, stated deadline, company bank statement, booking journal, bank record and the managing director’s response. If the reason for refusal changes between letters, preserve each version unchanged.
Preparing the accounting basis is distinct from the later payment dispute. If the annual accounts were withheld, the separate article on annual accounts and shareholder information rights provides the relevant framework.
When a shareholder seeks payment of an approved profit share, the review generally concerns that shareholder’s own claim against the GmbH. A majority influencing management is therefore not automatically the correct defendant. The resolution, articles, due date and corporate representation are decisive.
A repayment claim by the GmbH against a shareholder is different. That claim belongs in principle to the company and follows different rules. Mixing the two levels can wrongly turn a claim against the GmbH into a personal loss claim or a claim against the majority shareholder.
If management or shareholder-level conflicts affect representation, authority, minutes and the further corporate route require separate review. The correct direction of the claim cannot be inferred from the majority’s voting power alone.
Start with a written demand identifying the profit allocation resolution, amount, individual share and alleged due date. Ask the company to state every different legal position and counterclaim specifically. This turns a general blockade into an objection that can be tested.
If the company still refuses or remains silent, assemble claim, due date, evidence and the appropriate relief. The suitable action, court and any additional corporate steps depend on the resolution, articles, service and stated reason for refusal.
Restrictions on transferring a GmbH share concern a different subject from payment of a profit share. The article on restricted GmbH share transfers helps keep that issue separate.
First arrange the resolution documents chronologically. Then mark amount, share, date and conditions. A second list records each alleged objection, its document, the affected amount and the question that remains open.
For the payment phase, keep the resolution copy, annual accounts, minutes, bank records, booking journal, correspondence and details of authorised representatives in one evidence set. Conflicting versions are retained with their date and source rather than overwritten.
This structure separates the individual claim from a dispute about profit allocation, an unlawful payment under section 83 GmbHG and a conflict about transferring a GmbH share. That distinction determines the next sensible step.
No. The annual accounts provide the accounting basis. The profit allocation resolution and its content govern the specific distribution.
A later instruction does not automatically remove the original resolution. Authority, form, voting, wording and any objections must be reviewed separately.
Not automatically. The personal payment claim differs from a repayment claim belonging to the GmbH and from possible claims against individual shareholders.
