Read the loan agreement, pledge document, articles and register documents as one file. Record the secured claim, due date, share and planned enforcement route expressly.
A GmbH share is pledged as loan security. The security agreement, membership rights, articles and possible enforcement must be assessed together.

Dispute team for shareholders and managing directors
A shareholder dispute calls for corporate law, litigation strategy and commercial understanding from one team. Mag. Bernhard Brandauer is responsible for the legal advice; depending on the conflict, further specialised lawyers of the firm support safeguards, evidence, negotiations and court enforcement.
Contact the teamA GmbH share can be pledged to secure a loan. The pledge does not automatically make the lender a shareholder. The security agreement, the share, the articles of association and any later enforcement must therefore be assessed together.
While the loan is being serviced, membership generally remains with the existing shareholder. Voting rights, profit claims and information rights must not be equated with creditor access without examining the agreement, the due date and the company-law limits.

Separate voting, profit, information and disposal rights. The pledge itself does not replace the articles review and does not automatically transfer membership.
Secure the notice of due date and check whether the secured claim is due. Then assess the pledge, enforcement method, consent requirements and effects on the company together.
Create a record of notice, vote, profit resolution and information request. The question who is a shareholder must be separated from the question what security rights the creditor may assert.
A pledge is a security right. It is intended to allow the creditor to obtain satisfaction from the pledged asset if the secured claim is not fulfilled. The pledge alone does not mean that the lender can exercise every right of the shareholder.
Membership has several dimensions, including participation in decision-making, economic claims and information rights. Each must be assessed separately. The article on an enforced share concerns a different form of access. This article is limited to contractual loan security.
Section 76 GmbH Act regulates company shares and their transfer form. For a pledge, the formal requirements of the specific security arrangement and any additional requirements in the articles must be checked carefully. A clause in the loan agreement does not answer every formal question by itself.
The security document should identify the secured claim, the share, due date, release and enforcement event. It should also be clear how the company is to be informed of the pledge and later changes. The competence of the general meeting must be checked under section 35 GmbH Act and the applicable articles.
Until enforcement and an effective transfer have taken place, a pledge remains distinct from a sale. The existing shareholder is therefore not generally removed from the company merely by creating the security. For a particular vote, notice, authority and possible conflicts still require review.
Profit claims can be addressed separately in the security agreement. That does not mean every distribution automatically belongs to the creditor. The resolution, maturity, assignment and security purpose must be considered together. Information rights also do not disappear automatically. Section 39 GmbH Act and the documents should be checked when voting is disputed.
When the loan becomes due, the enforcement stage becomes central. The creditor must be able to show the secured claim, the security event and the permitted enforcement route. An announcement alone does not establish all of these points.
The articles can make a transfer subject to consent, pre-emption or other conditions. This matters in practice because enforcement may lead to a new holder of the membership. The article on restricted share transfers explains the consent layer, which remains distinct from the pledge itself.
The first review should include the loan and security agreements, amendments, due-date notice and account. Add the articles, company-register extract, shareholder records, prior transfers and relevant resolutions. Secure the documents with their creation and access dates.
For a current dispute, also preserve notices, minutes, voting results, profit resolutions and communication with the lender. Mark what has happened and what has only been announced. The article on disputed shareholder status addresses register and legitimacy questions; the security agreement adds its own scope and enforcement questions.
The pledge generally creates a security right. It does not automatically transfer membership. Enforcement, transfer, form and the articles must be assessed separately.
There is no universal answer. The pledge alone generally does not establish an automatic loss of all membership rights before an effective transfer. The current status, agreement, articles and specific vote must be reviewed together.
Important documents include the loan and pledge agreements, due-date notice, account, articles, register documents, valuation material and all communication about the announced enforcement.
First record whether the pledge is only agreed, the loan is due or enforcement has actually begun. Then review the security scope, membership rights and transfer restrictions separately. If a vote or enforcement is imminent, preserve the complete file promptly.
