When insolvency proceedings are opened over a GmbH shareholder’s assets, the share must be reviewed as an asset within the insolvency proceedings. The GmbH remains a separate legal person. The Insolvency Act, the share, the articles and the company register must be considered together before voting, information or participation rights are exercised.

The insolvency administrator does not automatically take over every corporate decision. The shareholder also cannot continue exercising the position without review. The decisive facts are the type and stage of the proceedings, the opening order, the proposed act and standing against the GmbH.

01 Question 1

Are the opening order, company register and next shareholder measure documented?

All paths at a glance

Overview of all answers.

01

Review standing, voting rights and the financial effect together.

Arrange the opening order, appointment of the insolvency administrator, company register extract, articles and the specific notice or vote. This identifies who should act against the GmbH and what cooperation is required.

02

Obtain the procedural status and authority records first.

Obtain the opening order, appointment document, current company register extract, articles, notice and minutes. Without these records it remains unclear whether the administrator, the shareholder or both need to be addressed.

Separate shareholder insolvency from GmbH insolvency

Section 1 IO sets out the framework for insolvency proceedings. Proceedings over the shareholder’s assets concern that person’s assets and positions. They do not create insolvency proceedings for the GmbH and do not automatically end its management or operations.

Section 2 IO governs the effects of opening proceedings. The GmbH should therefore first establish which person is insolvent, when the proceedings opened and whether an insolvency administrator was appointed. The existing article on GmbH insolvency and shareholder rights addresses the opposite starting point.

Separate the share, the estate and membership rights

Under section 76 GmbHG, a company share is generally inheritable and transferable. In insolvency it must be recorded as an asset of the shareholder. Its value may matter for creditor recovery and possible realisation. This concerns a sale or other realisation of the share.

Membership also includes voting, attendance, information and financial rights. Which of these the insolvency administrator exercises in a particular proceeding cannot be inferred from the label “shareholder insolvency”. The proceeding, articles, company register and proposed act must be reviewed together.

The rules on the transfer of a GmbH share on death show a comparable structure: the share, succession and standing against the GmbH are distinct questions.

The person voting for the share needs documented standing

Before a general meeting, the GmbH must establish who is appearing as shareholder and in what capacity. The insolvency administrator should provide the appointment and opening order. The shareholder should disclose the procedural status if the exercise of the share is disputed.

Section 78 GmbHG links standing against the company to the company register. The current register extract, opening order, appointment document, articles and any directions from the insolvency court should therefore be reviewed together. The register alone does not answer a complex question about internal administration of the share.

The notice, agenda, representation, proxy and any voting exclusion must also be secured. An unclear capacity should be recorded in the minutes with its reason instead of treating an unchecked vote as conclusive.

The company must reflect the procedural position in practice

The GmbH is not the shareholder’s insolvency authority. It must, however, invite the appropriate person, send applications and information to the relevant address and record the established capacity in the minutes. Clear records on the proceedings and the share are needed for that purpose.

For an upcoming general meeting, the company should not simply treat the insolvency administrator and the registered shareholder as two equal votes. The opening order, scope of the appointment, register and articles should be compared first. Any temporary refusal to accept an unclear vote should state its specific reason.

The insolvency administrator also needs information from the GmbH: articles, annual accounts, resolution minutes, register documents, distribution resolutions and planned transactions. Providing these records does not replace a corporate decision, but allows the share to be valued and administered.

Assess distributions, sale and voting separately

An approved distribution concerns a financial right. A vote concerns the formation of the GmbH’s will. A sale of the share is a disposition of the participation. These three matters should not be collapsed into a general statement about “all rights”.

Before paying an insolvent shareholder, establish whether the claim has arisen, whether it belongs to the insolvency estate and to whom payment can discharge the GmbH. For a transfer, review the articles, formal requirements, consent requirements and the procedural stage of the insolvency case.

Section 3 IO must be considered for acts after proceedings open. Whether a particular declaration or disposition is effective depends on its content, timing, actor and circumstances. The GmbH should therefore not base a payment, register filing or transfer solely on an informal instruction.

Build a procedural file immediately if voting is disputed

The review file should contain the opening order, appointment document, current company register extract, articles, shareholder records, notices, agendas, proxies, minutes, distribution resolutions and messages about the proposed act. Record the date of receipt and the person who acted on each document.

Prepare a short chronology covering the opening of proceedings, appointment, notice to the GmbH, invitation, vote, minutes and intended implementation. This shows whether the dispute concerns standing, administration of the share, payment or a specific resolution.

If a vote, payment or transfer is imminent, the appropriate corporate and insolvency remedy must be reviewed promptly. A general reference to insolvency does not replace proof of capacity or analysis of the specific legal consequence.

Frequently asked questions about an insolvent GmbH shareholder

Does the insolvency administrator automatically vote for the shareholder?

The opening of proceedings alone does not answer that question. The share, type of proceeding, appointment, articles and standing in the company register must be reviewed for the specific vote.

Does the shareholder lose every membership position when proceedings open?

No. The financial position, membership rights and standing against the GmbH are separate issues. The scope of exercise depends on the procedural stage and the specific measure.

What should the GmbH do before a general meeting?

It should compare the opening order, appointment document, company register, articles, notice, proxy and proposed resolution, and record any unclear capacity in the minutes.
