GmbH director remuneration after a missing appointment: restitution and benefit

When remuneration was paid without a valid appointment, the payment basis, work performed and scope of restitution must be reviewed separately.

If a person was treated as a managing director or another corporate organ even though the appointment was missing or ineffective, payments already made raise a specific restitution issue. Section 1431 ABGB addresses a performance made by mistake where nothing was owed.

The review must focus on each payment. The appointment, reason for payment, work actually performed and value retained by the recipient should be brought together in a clear chronology.

01 Question 1

Can the appointment and payment basis be traced in the records?

All paths at a glance

Overview of all answers.

01

Organise the appointment and payments first

List each payment with its date, amount, recipient and accounting description. Secure appointment records, agreements, statements and evidence of the work before calculating the scope of restitution.

02

Review the separate payment basis and value of the work

Review any separate agreement, the work actually performed and the value of the benefit received. Section 1431 ABGB provides the framework for restitution of a mistaken performance; whether another payment basis existed must be established from the records.

03

Define the mistaken performance and scope of restitution

Treat the payment as a possible performance without an owed basis and calculate each item separately. For a service, section 1431 ABGB makes the reasonable value of the benefit received relevant to the scope of restitution.

Identify the payment and the mistake

Section 1431 ABGB concerns a performance made by mistake where nothing was owed. For director remuneration, each payment should therefore be recorded with its reason, recipient and the assumption about the payment obligation at the time.

An accounting label such as “director remuneration” does not answer the legal question by itself. The relevant issue is whether the specific payment rested on a valid basis or was made in the mistaken belief that such a basis existed.

Separate the missing appointment from another payment basis

The missing or ineffective appointment is the starting point of the review. It does not remove the need to examine individual agreements and work performed. Secure written arrangements, statements and evidence showing what services were actually provided.

If a separate payment basis remains possible, it must be assessed on its own terms. Section 1431 ABGB supplies the framework for restitution of a mistaken performance; it cannot resolve an undocumented factual question without evidence.

Calculate restitution and the value of the work

Section 1431 ABGB provides for return of the thing or, for a service, the reasonable value of the benefit provided. For remuneration already paid, the full payment should therefore not be treated as the restitution amount without reviewing the actual work and its value.

The calculation should show each payment, any corresponding work, repayments and the benefit retained. This makes clear which items are undisputed and where the parties disagree about the value of the benefit.

Prepare the evidence and next step

Appointment records, shareholder resolutions, agreements, payroll or fee statements, bank records, accounting data and work evidence belong in one chronology. Each item should be linked to the payment, the alleged basis and the service received.

In a dispute, state the claim by period and payment. The review of a shareholder loan shows why a different payment basis needs separate treatment. The legal assessment depends on the records and facts that can be established.

Frequently asked questions

Can a GmbH automatically reclaim all remuneration after a missing appointment?

No. Section 1431 ABGB requires a review of whether a mistaken performance was made without an owed basis. The work performed, any separate payment basis and the scope of the benefit must also be clarified.

Does work actually performed matter for restitution?

Yes. For a service, section 1431 ABGB refers to the benefit provided. The work and its reasonable value should therefore be documented specifically.

Which records should the GmbH secure first?

Secure appointment records, agreements, statements, bank records, accounting data and work evidence. Match them to each payment and record unresolved facts.
