Under section 36(1) of the GmbH Act, an Austrian GmbH may meet at a place other than its registered seat if the articles provide for it. If they do not, the registered seat remains the statutory starting point. A venue abroad must therefore be assessed against the articles, the notice and the concrete burden placed on shareholders.

The venue alone does not decide whether a resolution is effective. The notice, a realistic opportunity to participate, the exercise of voting rights, the agenda and the recorded procedure all matter. The Supreme Court requires the interests of shareholders to be considered when the venue and date are chosen.

01 Question 1

What is specifically disputed about the venue abroad?

All paths at a glance

Overview of all answers.

01

Review the articles, notice and agenda together.

Secure the complete articles, the notice stating the venue and date, proof of delivery and the agenda. Compare the venue clause with section 36 GmbH Act and assess whether the information allowed meaningful participation.

02

Document the concrete opportunity to attend and vote.

Arrange travel burden, date, notice period, proxy, attendance list and vote. Record what practical opportunity for attendance or representation existed and how the exercise of voting rights was affected.

03

Assess the resolution, minutes and possible review promptly.

Secure the resolution copy, minutes, notice, agenda and any objection recorded in the minutes. Then assess whether a defect in convening or participation opens the resolution review under sections 41 et seq GmbH Act.

The articles provide the starting point for the venue

Section 36(1) GmbH Act identifies the registered seat as the statutory venue, while allowing the articles to provide for another place. Read the current articles, including later amendments, first. Earlier practice does not replace the agreed venue clause.

Contractual interpretation follows section 914 General Civil Code. The relevant question is the intention of the parties and the understanding of reasonable parties in fair dealing. If a clause remains unclear, section 915 may become relevant. The articles should be read as a whole, including provisions on notice, participation and representation.

Reasonableness depends on the circumstances of the date

A contractual alternative venue still operates within the duty to respect shareholder interests. Consider distance, travel time, costs, entry requirements, the chosen date and the personal circumstances of shareholders. The availability of effective representation may also affect the practical burden.

The Supreme Court summarises this approach in RS0059692. A general meeting should not be scheduled at a time when shareholders are known to be absent. The duty to take their interests into account when choosing venue and date follows from the general duty of loyalty. 6 Ob 47/24s is recorded as a more recent decision connected with this principle.

Reasonableness is fact-specific. A venue abroad is therefore neither automatically invalid nor secured by a general reference in the articles. The decisive question is whether the chosen venue makes attendance or representation unreasonably difficult for a shareholder.

The notice must identify venue, date and purpose clearly

Section 38(1) GmbH Act requires the form of notice specified in the articles. At least seven days must fall between dispatch or the last publication and the meeting date. The notice must identify the foreign venue precisely enough for shareholders to plan attendance. Hotel, building, room and a reachable contact should be stated clearly.

Under section 38(2) GmbH Act, the purpose of the meeting, meaning the agenda, must be described as specifically as possible. If an amendment of the articles is planned, its essential content must be stated. A distant venue does not become unproblematic merely because the agenda is precise. Both issues require separate review.

The Supreme Court highlights the evidentiary purpose of the notice form in RS0059707. The written notice is meant to create clarity about time and place and to prevent later disputes about proper convening. Keep the notice, envelope, delivery record and every later venue change.

Attendance, proxy and voting rights require separate records

A shareholder may participate personally or through suitable representation. Section 39(3) GmbH Act permits voting through a proxy, but requires a written proxy directed to the exercise of that voting right. Travel difficulty does not automatically dispense with a proxy, and a general authority is not automatically sufficient.

For a dispute, keep the proxy, any sub-proxy, identity record, attendance list and the specific vote together. The count should show which nominal capital was represented and how the chair determined the result. Also check whether a statutory or contractual voting exclusion applied.

The notice must allow the shareholder to decide how to attend or arrange representation. If the venue was moved at short notice or a valid representative was rejected without a comprehensible reason, the event should be recorded expressly in the minutes.

A venue defect does not always make a resolution void

Resolution review starts with identifying the specific defect. Possible issues include the lack of a contractual basis for the venue, an unclear or late notice, an unreasonable barrier to participation, rejection of a valid representative, or an error in voting rights or counting. Each possibility has its own facts and legal consequences.

Section 41(1) GmbH Act provides for invalidation where a resolution is deemed not to have been passed under the Act or the articles, or where its content violates mandatory law. The distinction between challenge, invalidity and a defect without effect depends on the precise issue. The review should therefore not stop at the word “abroad”.

In RS0133921, the Supreme Court states that questions about lawful conduct at a general meeting, valid voting and whether resolutions were effectively passed are addressed through the time-limited action under sections 41 et seq GmbH Act. Section 41(4) sets a one-month period from the day the copy under section 40(2) was sent. Record the dispatch date immediately.

The copy and minutes under section 40 GmbH Act show what was recorded. They do not replace review of the articles and the actual procedure. Preserve the documents in the form in which they were received.

These records make resolution review easier

A first legal assessment needs the complete articles, notice, proof of delivery, precise venue, any change notices, agenda and minutes. Travel records, messages about the obstacle to attendance, proxies, sub-proxies, attendance list, ballots and digital voting data may add important detail.

Prepare a chronology from dispatch of the notice to receipt of the resolution copy. Record when the foreign venue became known, whether it changed, what opportunity for attendance or representation was offered, which objections were recorded and how the result was announced.

If a resolution is already being implemented, resolution review should be coordinated with the planned measure. For a transaction with a shareholder, the article on the voting exclusion for transactions with shareholders may assist. If the issue concerns discharge and liability, see the review of a GmbH discharge resolution.

For preserving resolutions, minutes and dispatch evidence, the article on minutes and preservation of evidence provides a related checklist. The special audit and the virtual shareholders’ meeting are separate questions and are linked only to make that boundary clear.

Frequently asked questions about a venue abroad

May an Austrian GmbH hold its general meeting abroad?

Section 36(1) GmbH Act uses the registered seat as the starting point but permits another venue in the articles. The notice, practical opportunities for attendance or representation and the interests of shareholders must also be reviewed.

Is a foreign venue automatically invalid if a shareholder cannot travel?

No. The facts of the case, the venue clause, the notice and the concrete possibility of attendance or representation are decisive. The Supreme Court requires the interests of shareholders to be considered when venue and date are chosen.

What time limit applies to an action against a defective resolution?

Section 41(4) GmbH Act states a one-month period from the day the copy under section 40(2) was sent. The dispatch date and the resolution copy should therefore be secured immediately.
